CONSTITUTION AND BY-LAWS

PREAMBLE
The Detroit Guild of the Catholic Medical Association in order to grow in the spirit of Christ in our personal and professional lives, and to bring His Spirit to all that is touched by our science and art, desiring to assist the Archbishop, the Bishops and the whole Christian Community with leadership, especially with the particular knowledge, skill, and experience we have as Christian health professional do hereby convene and agree to form a society to be known as the Detroit Guild of the Catholic Medical Association.
ARTICLE I
Name
This organization shall be known as "The Detroit Guild of the Catholic Medical Association."
ARTICLE II
Purpose
The purpose of the Detroit Guild is congruent with the Catholic Medical Association and shall be:
To uphold the principles of Catholic faith and morality as related to the science and practice of medicine.
To cooperate in leading the Christian community, especially with the particular medical expertise and experience of the Catholic physicians, to understand, develop, and apply Christ's principles of faith and morality to modern medical science and practice.
To lead the Christian community in the work of communicating Catholic medical ethics to the medical profession and the community-at-large.
To uphold Catholic hospitals in the application of Catholic moral principles in medical practice.
To enable Catholic physicians to know one another better and to work together with deeper mutual support and understanding.
To promote education in Catholic medical moral principles by holding periodic conferences or periodically inviting speakers to its meetings.
ARTICLE III
Membership
Membership shall be opened to physicians, dentists, fellows, residents, interns, medical and dental students, to Associates in the same categories and Affiliated Members elected in accordance with the by-laws of the Detroit Guild of the Catholic Medical Association.
ARTICLE IV
Organization
The Detroit Guild of the Catholic Medical Association shall act through the duly elected Officers and have all the powers vested in a non-profit organization by the State of Michigan and such powers necessary and incident to carrying out its purpose.
The Officers and Members of the Detroit Guild shall serve without salary.
The Detroit Guild of the Catholic Medical Association shall consist of the Members, Associates and Affiliated Members.
Article V
Amendments
Proposed amendment(s) to the constitution may originate from any Member including Associates and Affiliated Members of the Detroit Guild of the Catholic Medical Association by written communication to the Secretary of the Guild or at any meeting of the Guild and will be voted on by a simple majority of the members present.
BY-LAWS OF THE DETROIT GUILD OF THE CATHOLIC MEDICAL ASSOCIATION
ARTICLE I
Officers
SECTION 1
The Officers of the Detroit Guild of the Catholic Medical Association shall consist of the President, Vice-president, Secretary and Treasurer. The term of office shall be two years. In the event of a death or resignation of the President, the Vice-president shall assume the office of the President and shall appoint a new Vice-president to serve the balance of the term. In the event that any other officer is not able to serve his term of office, the President shall appoint a new officer to serve the balance of the term.
SECTION 2
Election of Officers shall take place every two years.
SECTION 3
The President shall preside at all meetings of the Detroit Guild of the Catholic Medical Association and shall be an ex-officio member of all committees, shall fill all vacancies during un-expired terms, shall call all meetings, and shall perform such other duties appropriate to his/her office, provide and have charge of all arrangements for sessions and meetings.
SECTION 4
The Vice-president shall assume the duties of the President in his/her absence and shall perform other duties as assigned by the President.
SECTION 5
The Secretary shall record or have recorded all proceedings and minutes of all meetings of the Detroit Guild of the CMA and carry out such duties as assigned by the President. The Secretary shall be responsible for preparing and mailing of notices and announcements of all regular and special meeting and of meetings of the committees.
SECTION 6
The Treasurer shall receive all funds and make a report in writing of all monies received and expended at a regular meeting and shall provide at each annual meeting an audited statement of the financial condition of the Detroit Guild of the CMA. The Treasurer shall maintain all records concerned with membership and accounts and shall be responsible for collecting dues
ARTICLE II
Episcopal Advisor
Section 1
The Episcopal Advisor to the Detroit Guild of the Catholic Medical Association shall be a Bishop or priest appointed by the Diocesan Bishop or Archbishop.
ARTICLE III
Board of Directors
Section 1
The Board of Directors shall consist of the President, the Vice-President, the Secretary, the Treasurer, the Past Presidents, the Regional Directors, the Episcopal Advisor (Moderator) and the Chaplain. The Chaplain and the Episcopal Advisor shall serve as ex-officio members without vote.
Section 2
The duties of the Board of Directors shall be those of conducting the affairs of the Detroit Guild of the Catholic Medical Association authorized by its Certificate of Incorporation, Constitution and these By-Laws; the Board shall fix annual dues, adopt rules and regulations for the election of members and officers, edit and print authorized publications and proceedings, and provide the cost of meetings and any proper expenses of the Detroit Guild of the Catholic Medical Association.
Section 3
The Board of Directors shall hold periodic meetings at least annually.
ARTICLE IV
Committees
The President shall appoint all committees and committee chairpersons. The duration of each committee shall be determined at the time of its appointment, but may not exceed the term of the appointing President. Members of the committee shall be appointed by its chairman.
ARTICLE V
Associate and Affiliated Members
Section 1
Qualifications of Associates: Catholic physicians, not residing in the vicinity of a guild.
Section 2
Catholic medical students, dental students, interns, residents, and fellows residing in the vicinity where there is no constituent Guild may be elected to Associate membership.
Section 3
Qualifications for Affiliated membership: Nurses, any other health care professionals, clergy, and the general public endorsed by any member including Associate and Affiliated Members.
ARTICLE VI
Fees
Section 1
The annual dues for Members, Associates and Affiliated Members will be established annually. The annual dues shall entitle Members to the privileges of membership namely, attendance at periodic meetings, a vote at the elections of officers and all other proceedings of the Guild, a periodic newsletter of the Detroit Guild of the Catholic Medical Association and attendance at educational conferences.
Section 2
Members delinquent in dues in excess of two (2) years shall lose all privileges of good standing in the Detroit Guild of the Catholic Medical Association.
Section 3
The annual dues for medical and dental students, interns, residents, fellows, Associates and Affiliated Members shall be determined by the Board of Directors.
ARTICLE VII
Publications
A Newsletter will be published on a periodic basis.
ARTICLE VIII
Meetings
General membership meetings shall be held as determined by the Board. Special meeting may be called at any time by the President.
ARTICLE IX
Elections
SECTION 1
Elections of officers shall be held every two years.
SECTION 2
The elections shall be determined by a majority vote of Members present, and ballots mailed in by absent paying Members.
SECTION 3
No individual shall have more than one vote regardless of the offices he/she may hold.
ARTICLE X
Order of Business
SECTION 1
The order of business of the meetings of the Detroit Guild of the Catholic Medical Association shall be:
(A) Opening Prayer
(B) Reading of Minutes
(C) Report of the President
(D) Report of the Chaplain
(E) Report of the Treasurer
(F) Report of committees
(G) Reading of Communications
(H) Unfinished business
(I) New Business
(J) Election of Officers (as appropriate)
(K) Installation of Officers (as appropriate)
(L) Closing Prayer
(M) Adjournment
SECTION 2
Robert's Rules of order (Revised) shall govern all order of business and procedures not in conflict with the Constitution and By-Laws for conducting business at a meeting. A quorum shall constitute four Members present and voting one of whom is an Officer.
ARTICLE XI
Disposition of Assets on Dissolution
In the event of dissolution or liquidation of the Detroit Guild of the Catholic Medical Association, the assets remaining after payment of just debts shall be conveyed to the Roman Catholic Archbishop of the Archdiocese of Detroit or, at his option, to another Catholic nonprofit organization exempt from Federal Income Taxes under the Internal Revenue Code.
ARTICLE XII
Amendments
Proposed amendment(s) of the By-Laws may originate from any Member and will be brought to a vote at the next regular meeting. It will require a simple majority for adoption.
